Position: Corporate Governance Officer
Department: Legal Department
TIRANA BANK, one of the leading banks in Albania, is currently seeking to hire a hardworking and motivated candidate to join Legal Department in the position of Corporate Governance Officer.
The Corporate Governance Officer shall engage with issues of corporate functions of the Bank, such as to provide legal support for conduction of Shareholder’s Assembly (Ordinary & Extraordinary Shareholders Meeting) and Board of Directors meetings, as well as to ensure adequate compliance with laws and regulations in force on corporate governance.
Responsibilities:
- Fosters the implementation of best corporate governance principles across Tirana Bank;
- Provides legal support for the organization and conduction of meetings of the Shareholder’s Assembly and the Board of Directors;
- Ensures compliance of the function of the Board of Directors with legislation in force;
- Maintains Bank’s Articles of Association, proposes changes as required and ensures the performance of the related due legal formalities (with the Commercial Register, the National Bank of Albania and Share Register);
- Ensures that Internal Operating Regulation and any Bank’s policy or procedure related to corporate governance is in line with the legislation and regulatory framework;
- Monitors the developments in the legislation and regulatory framework and informs promptly and as appropriate the Compliance Department;
- Coordinates the process of yearly re-assessment of the suitability of the shareholders in line with applicable regulatory framework;
- Establishes/revises the policy and/or procedure on the appointment and/or re-appointment of bank administrators (including Board of Directors and Audit Committee members) in line with applicable regulatory framework;
- Executes statutory notifications to BoA related to changes in organization structure and/or bank administrators;
- Ensures establishment and/or update of any policy and/or procedure related to Corporate Governance issues that may be required by applicable legislation and/or regulatory framework;
Required experience:
- Minimum 3 years of experience in legal/corporate function is required;
- Have a good knowledge of best corporate governance practice;
- Demonstrate experience in support to governing bodies;
Required education:
- Bachelor’s Degree in law;
- Holds a Master’s degree in Law;
Required competencies / skills:
- Demonstrate strategic and analytical thinking skills;
- Very good organization skills and has an attention to detail;
- Ability to work independently;
- Possess excellent drafting skills;
- Strong interpersonal skills and ability to communicate and collaborate with individuals at all levels in and out of the organization;
- Ability to effectively communicate, collaborate and deliver an excellent work product in a dynamic environment under tight deadlines;
- Proven experience handling confidential and sensitive information with the ability to exercise discretion and show good judgment; honesty, integrity;
- Very good command of written and spoken English and computer literate;
