| Mission: | The Legal and Compliance Officer is responsible for keeping company activities in compliance with new legislation. Compliance to internal rules ®ulations and other applicable laws in force | |
| Outcomes: Task | √ Provide legal support and legal opinion to the financial institution’s Management and Departments on daily basis √ Provide legal advice and opinion to business units by advising on new product development, drafting and reviewing legal terms and conditions of these products and related promotional campaigns, reviewing marketing materials for such products and campaigns, and advise on legal issues arising from dealings with customers. Ensure that products and services offered by the financial institution duly comply with rules and regulations √ Provide legal advice and support on general litigation issues arising from different legal proceedings against third parties √ Draft and vet commercial agreements entered into by the financial institution with business partners, service providers and suppliers arising from the above √ Advise the human resources department on employment law and labor and benefit issues √ Fosters the implementation of best corporate governance principles across financial institution, ensures establishment and/or update of any policy and/or procedure related to Corporate Governance issues that may be required by applicable legislation and/or regulatory framework √ Maintains Bank’s Articles of Association, proposes changes as required and ensures the performance of the related due legal formalities (with the Commercial Register, the National Bank of Albania and Share Register). √ To ensure compliance to the current legislation, solving legal matters regarding the activity of the financial institution according to the current legislation. √ To provide legal advice and ensure that the financial institution’s legal interests are protected in the best possible manner. √ To negotiate, prepare and review contracts, agreements, and other legal documents. | |
| Competencies: | √ Minimum 3 years of experience in preferably have in-house experience in banks or other financial institutions √ Very good knowledge of banking law, commercial law and other applicable laws in force √ Very Good command of English language √ Very Good command of Microsoft Package. √ Strong analytical, planning and project management skills √ Ability to react on uninspected events √ Have strong presentation and interpersonal skills √ Very strong written and verbal skills both in English and Albanian √ Have a good knowledge of best corporate governance practice; Demonstrate experience in support to governing bodies . | |
